These Terms and Conditions of Sale (“Terms”) govern purchases made through KOOVEXO and the website koovexo.com, operated by SAYMANS LLC (“SAYMANS,” “KOOVEXO,” “we,” “us,” or “our”). Please read these Terms carefully before placing an order.

2. Scope and Acceptance
These Terms apply to consumer purchases of products offered through koovexo.com. By submitting an order, you acknowledge that you have read and agree to these Terms, together with any policies incorporated by reference, including our Shipping Policy and Return and Refund Policy.
Nothing in these Terms limits or waives rights that cannot lawfully be limited or waived under applicable federal or state consumer-protection law.
3. Eligibility and Consumer Use
You must have legal capacity to enter into a binding contract. Products are offered primarily for personal or household use. We may limit quantities, refuse unusually large orders, or cancel orders where reasonably necessary to prevent fraud, abuse, unauthorized resale, pricing errors, or transactions that violate law or payment-provider requirements.
4. Product Information
We make reasonable efforts to display product descriptions, dimensions, features, colors, photographs, and other information accurately. Actual colors may vary depending on your screen or device. Dimensions described as approximate may vary slightly due to manufacturing tolerances.
You are responsible for reviewing product information and, where relevant, measuring the intended space before ordering. Product photos may include props, accessories, cleaning supplies, or other items for illustration only unless expressly stated as included.
If a material product description on the website is incorrect, your rights will be determined by applicable law and our published return/refund procedures.
5. Prices, Promotions, and Taxes
Prices are shown in U.S. dollars unless stated otherwise. Applicable sales tax, shipping charges, or other lawful charges are displayed at checkout before you submit the order.
Promotional codes are subject to their stated terms, eligibility criteria, expiration dates, and usage limits. Promotional codes have no cash value, may not be sold or transferred unless expressly permitted, and may be cancelled where obtained or used through fraud, technical error, or abuse.
If a product is listed at an obviously incorrect price due to a typographical, technical, or system error, we may reject or cancel the affected order. If payment has already been captured, we will issue the appropriate refund.
6. Order Process and Contract Formation
Placing an order is an offer to purchase the selected products. An automated order acknowledgment confirms receipt of your order but does not necessarily constitute final acceptance.
We may review orders for availability, payment authorization, suspected fraud, address issues, quantity restrictions, pricing errors, or other legitimate concerns. Unless applicable law requires otherwise, an order is accepted when we confirm acceptance or dispatch the product.
If we reject or cancel an order after payment has been captured, we will refund the amount due using the original payment method when reasonably possible.
7. Payment
Payment methods available to you are the methods displayed at checkout. Payments may be processed by Shopify or other authorized payment service providers. We do not guarantee that every payment method will be available for every transaction.
You represent that you are authorized to use the payment method submitted. You authorize us and our payment processors to charge the amounts shown at checkout, including applicable taxes and shipping charges.
Orders may be delayed, declined, or cancelled if payment authorization fails, required verification cannot be completed, or we reasonably suspect fraud or unauthorized use.
8. Availability
Product availability is not guaranteed until an order is accepted. Inventory information may change between the time a product is viewed and the time an order is processed.
If an ordered item becomes unavailable, we may cancel the unavailable item or order and issue the appropriate refund. We will not substitute a materially different product without your consent.
9. Shipping and Delivery
We currently ship within the United States as described in our Shipping Policy, unless checkout expressly offers another destination.
Any shipping or delivery estimate shown on the website is an estimate unless expressly identified as a guaranteed commitment. We maintain procedures intended to comply with applicable U.S. rules governing internet-order shipment timing.
If we cannot ship within the time stated to you, or within the period required by applicable law when no shipment time is stated, we will provide any delay notice, cancellation option, or refund required by law.
You are responsible for providing a complete and accurate delivery address. If an address error causes a shipment to be returned or requires re-shipment, additional shipping charges may apply where lawful and where the error was not caused by us.
Risk of loss and title transfer in accordance with applicable law. Nothing in these Terms is intended to shift risk of loss earlier than permitted by applicable law.
10. Order Cancellation
You may request cancellation before shipment by contacting us promptly. We cannot guarantee cancellation once fulfillment has begun or the order has shipped.
We may cancel an order where reasonably necessary because of inventory unavailability, pricing or listing errors, payment failure, suspected fraud, legal restrictions, misuse of promotions, or inability to fulfill the order. If we cancel an order after payment has been captured, we will provide the refund required by law.
11. Returns and Refunds
Returns and refunds are governed by our separate Return and Refund Policy, which is incorporated into these Terms.
Where the Return and Refund Policy gives you a contractual return right, you must follow the stated return conditions and procedures. Nothing in that policy or these Terms limits rights or remedies that apply by law to defective, nonconforming, misdescribed, or undelivered goods.
12. Damaged, Defective, Incorrect, or Missing Items
If you receive an item that is damaged, defective, materially different from what you ordered, or if part of the order is missing, contact us as soon as reasonably possible with the order number and supporting information. We may request photographs or other reasonable documentation to investigate the issue.
Depending on the circumstances and applicable law, the appropriate remedy may include replacement, repair where appropriate, refund, or another lawful remedy. We do not require a customer to surrender rights that cannot legally be waived.
13. Packages Marked Delivered
If tracking shows a package as delivered but you cannot locate it, contact the carrier and us promptly. We may investigate delivery records, address information, carrier scans, or other relevant evidence. Responsibility for the loss will be determined under applicable law and the facts of the delivery.
14. Warranties and Legal Rights
Except for any express written warranty we may separately provide, and to the fullest extent permitted by applicable law, products are sold without additional contractual warranties beyond those stated on the product page or required by law.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER DOES NOT APPLY WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.
Some states do not permit certain warranty exclusions or limitations, so some of the above may not apply to you.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SAYMANS LLC, KOOVEXO, AND THEIR OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM A PURCHASE OR USE OF THE WEBSITE OR PRODUCTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE CONTRACTUAL LIABILITY ARISING FROM A PARTICULAR PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including where applicable liability for fraud, willful misconduct, gross negligence, or personal injury caused by conduct for which liability cannot legally be disclaimed.
16. Proper Use
You are responsible for using products in a reasonable manner and in accordance with any instructions, warnings, specifications, or limitations supplied with the product. We are not responsible for damage resulting solely from misuse, unauthorized modification, improper installation, use outside stated specifications, or failure to follow supplied instructions, to the extent permitted by law.
17. Force Majeure and Events Beyond Reasonable Control
To the extent permitted by law, we are not liable for delays or failures caused by events beyond our reasonable control, including severe weather, natural disasters, transportation disruptions, labor disputes, carrier failures, governmental actions, public emergencies, cyber incidents, widespread service outages, or similar events. This section does not eliminate any statutory right to cancel or receive a refund where such a right applies.
18. Electronic Communications
By placing an order or contacting us electronically, you consent to receive transaction-related communications electronically, including order confirmations, receipts, shipping notices, cancellation notices, and legally required communications, where permitted by law.
You are responsible for keeping your email address and contact information accurate.
19. Fraud, Abuse, and Security
We may use reasonable fraud-prevention and security measures. We may refuse or cancel transactions that we reasonably believe are fraudulent, unauthorized, abusive, or unlawful. We may also preserve and disclose transaction information where required by law, court order, lawful process, or payment-network rules.
20. Governing Law
These Terms and sales by SAYMANS LLC are governed by the laws of the State of New Mexico and applicable federal law, without regard to conflict-of-laws principles, except that this choice of law does not deprive a consumer of mandatory protections that apply under the law of the consumer’s state of residence.
Sales of goods may also be subject to applicable provisions of the Uniform Commercial Code as adopted by the relevant state.
21. Disputes
Before filing a lawsuit, we encourage you to contact us so we can attempt to resolve the matter informally. Send the order number, a description of the issue, and the remedy requested to vaelis84@outlook.com.
Any dispute that is not resolved informally may be brought in a court of competent jurisdiction. To the extent legally permitted, disputes governed solely by New Mexico law may be brought in the appropriate state or federal courts serving Bernalillo County, New Mexico. This provision does not prevent a consumer from using any forum or remedy that applicable law makes available and that cannot lawfully be waived.
22. No Waiver
If we do not enforce a provision of these Terms on one occasion, that does not waive our right to enforce it later.
23. Severability
If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary, and the remaining provisions will continue in effect.
24. Assignment
You may not transfer contractual rights or obligations arising from an order without our consent, except where applicable law permits otherwise. We may assign our rights or obligations in connection with a merger, acquisition, sale of assets, financing, restructuring, or transfer of the business, provided that consumer rights are not materially reduced in violation of law.
25. Entire Agreement
These Terms, together with the applicable product page, order confirmation, Shipping Policy, Return and Refund Policy, Privacy Policy when published, and any other policy expressly incorporated by reference, constitute the agreement governing your purchase, subject to any mandatory rights provided by law.
26. Changes to These Terms
We may update these Terms from time to time. The version in effect when you place an order generally governs that purchase, except where a change is required by law or expressly agreed by you.
